TERMS OF USE Effective Date: February 16, 2026 1. ACCEPTANCE OF TERMS Welcome to Stadium Rant ("App," "we," "us," or "our"). By downloading, accessing, or using the Stadium Rant mobile application, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the App. 2. ELIGIBILITY You must be at least 13 years of age to use the App. By using the App, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement. If you are under 18, you represent that you have your parent or guardian's permission to use the App and that they have agreed to these Terms on your behalf. 3. ACCOUNT REGISTRATION AND SECURITY You may need to create an account to access certain features. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. 4. USER CONDUCT You agree to use the App only for lawful purposes and in accordance with these Terms and our Community Guidelines. You agree not to: • Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable; • Impersonate any person or entity or misrepresent your affiliation; • Post content that infringes on others' intellectual property rights; • Use the App or any content for commercial purposes without our prior written consent; • Interfere with or disrupt the App or servers or networks connected to the App. 5. USER CONTENT You retain ownership of content you post ("User Content"). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, display, reproduce, distribute, modify, and create derivative works of your User Content in connection with operating and promoting the App. You represent that you have the right to post your User Content and that it does not violate any third-party rights or applicable laws. 5A. PLATFORM ONLY Stadium Rant is a platform for user-generated content. We do not create, endorse, or assume responsibility for any User Content. The views, opinions, and content expressed by users are solely those of the authors and do not reflect our views. We do not control, review, or pre-screen User Content and are not responsible for the accuracy, legality, reliability, or appropriateness of any User Content. 5B. SPORTS BETTING DISCLAIMER Content on the App may include discussion of sports betting, odds, or gambling-related topics. Such content is provided for informational and entertainment purposes only and does not constitute gambling advice, financial advice, investment advice, or professional advice of any kind. We do not operate, manage, or control any gambling services, sportsbooks, or betting platforms. We do not accept wagers and do not facilitate betting transactions. You are solely responsible for determining whether sports betting is legal in your jurisdiction and for complying with all applicable laws. You must be of legal gambling age in your jurisdiction to engage in any betting activity. We are not responsible for any financial losses, damages, addiction-related harm, or other consequences resulting from gambling activities or reliance on betting-related content posted on the App. 6. INTELLECTUAL PROPERTY The App and its content (excluding User Content), including but not limited to text, graphics, logos, and software, are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written permission. 7. TERMINATION We reserve the right to suspend or terminate your account at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the App will cease immediately. You may also delete your account at any time through the App settings. 8. DISCLAIMER OF WARRANTIES THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY USER CONTENT OR OTHER CONTENT ON THE APP. 9. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE CLAIM. 10A. INDEMNIFICATION You agree to indemnify, defend, and hold harmless Stadium Rant and its officers, directors, employees, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your User Content; (b) your use of the App; (c) your violation of these Terms; or (d) your violation of any law or third-party rights. 10. CHANGES TO TERMS We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the App or by other reasonable means. Your continued use of the App after such changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App. 11. GENERAL These Terms constitute the entire agreement between you and us regarding the App. If any provision is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision. GOVERNING LAW These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of New Jersey. 12.
